Quick answerUdyam registration is the official registration of a micro, small or medium enterprise under the Micro, Small and Medium Enterprises Development Act, 2006. It is filed free of cost on udyamregistration.gov.in using the Aadhaar of the proprietor, partner or authorised signatory and the PAN of the enterprise. Classification depends on investment in plant and machinery and on turnover, both pulled from income tax and GST data. The registration is permanent and unlocks delayed-payment protection, priority sector lending and procurement benefits.

Who can register on Udyam
Any enterprise engaged in manufacturing or in providing services can register, whatever its legal form: proprietorship, HUF, partnership firm, LLP, private or public company, co-operative society, society or trust. One enterprise gets one Udyam number. If you run several businesses through the same PAN, you add all the activities and units to that single registration rather than registering again.
Retail and wholesale traders can also register. Under the Ministry of MSME notification of 2021, however, traders are covered only for priority sector lending, not for the full range of MSME benefits such as the delayed-payment remedy. Informal micro units without PAN or GST can register through the separate Udyam Assist Platform, which is linked to SIDBI.
You do not need to be a company or have GST registration to apply. If your business is liable to register under GST, though, the GSTIN must be given, because turnover is read from GST and income tax records.
MSME classification: investment and turnover limits
An enterprise is classified using two tests together: investment in plant and machinery or equipment, and annual turnover. The limits were raised by the Union Budget 2025 and apply from 1 April 2025:
| Category | Investment up to | Turnover up to |
|---|
| Micro | ₹2.5 crore | ₹10 crore |
| Small | ₹25 crore | ₹100 crore |
| Medium | ₹125 crore | ₹500 crore |
An enterprise must satisfy both limits for a category. If it crosses either one, it moves to the next category. Investment is taken from the written-down value in the previous year's income tax return, excluding land, buildings and furniture. Export turnover is excluded when computing turnover, which helps export-oriented units stay micro or small.
When an enterprise grows into a higher category, it continues to enjoy the non-tax benefits of its earlier category for a period of three years, so growth does not immediately strip away procurement or credit advantages.
The delayed-payment protection that matters most
For micro and small suppliers, the most valuable benefit is Chapter V of the MSMED Act. Under section 15, a buyer must pay a registered micro or small supplier within the agreed period, which cannot exceed 45 days from acceptance of the goods or services. Where there is no written agreement, the limit is 15 days.
If the buyer pays late, section 16 makes it liable to pay compound interest with monthly rests at three times the bank rate notified by the Reserve Bank, regardless of any contrary contract term. The supplier can file a reference with the Micro and Small Enterprises Facilitation Council of its state, online through the MSME Samadhaan portal. The Council first attempts conciliation and then decides the dispute as an arbitrator, and a buyer who wants to challenge the award must first deposit 75% of the awarded amount under section 19.
Income tax adds pressure from the buyer's side. Section 43B(h) of the Income-tax Act, 1961 disallowed a buyer's deduction for amounts owed to micro and small enterprises until actually paid, where payment was not made within the section 15 period. This restriction has been carried into the Income-tax Act, 2025, which applies from 1 April 2026. Large buyers therefore check the Udyam status of their vendors, and suppliers who are registered tend to be paid faster. If a buyer still refuses to pay, a money recovery strategy can combine the Samadhaan reference with a legal notice.
Other benefits of Udyam registration
- Priority sector lending: banks treat MSME loans as priority sector advances, and collateral-free credit is available through the Credit Guarantee Fund Trust for Micro and Small Enterprises (CGTMSE).
- Government tenders: under the Public Procurement Policy for Micro and Small Enterprises, central ministries and public sector undertakings must procure a share of their purchases from MSEs, and registered MSEs are generally exempt from tender fees and earnest money deposits.
- Schemes and subsidies: central and state schemes, including state industrial policies, usually require a Udyam number to claim capital, interest or power subsidies.
- Trademark and patent fees: enterprises with MSME status pay lower official fees for trademark registration and patent filings.
- Credibility: many corporate vendor onboarding forms ask for the Udyam certificate as a matter of routine.
How Udyam registration is done
- Enter the Aadhaar number of the proprietor, managing partner, karta or authorised signatory and verify it with the OTP sent to the Aadhaar-linked mobile.
- Enter the PAN of the enterprise. The portal validates it and pulls available data from income tax and GST systems.
- Fill in the enterprise name, units and plant locations, official address, bank account, date of commencement, number of employees and social category of the owner.
- Select the correct National Industrial Classification (NIC) codes for every manufacturing or service activity.
- Submit with a final OTP. The certificate with its Udyam Registration Number is issued electronically, usually within a few days.
No documents need to be uploaded; the system relies on self-declaration and government databases. That is exactly why errors matter: a wrong NIC code or category can cost you a tender or a subsidy later.
If you already hold an old Udyog Aadhaar Memorandum (UAM) or an EM-II acknowledgement, note that these are no longer valid; the enterprise must hold a Udyam registration to claim any MSME benefit today.
Common mistakes and how to avoid them
- Paying a private website for a "certificate". Registration is free on the government portal. Several look-alike sites charge fees; always use the official portal or a professional who files there.
- Choosing a trading NIC code for a service business, which limits the benefits available to you.
- Registering twice under different PANs for what is one business, or not adding a new unit to the existing registration.
- Not mentioning the Udyam number on invoices and purchase orders. Buyers cannot be held to the 45-day rule easily if they did not know you were a registered MSE.
- Giving false information. Misrepresentation attracts penalties under section 27 of the MSMED Act and the registration can be cancelled.
The registration has no expiry, but you should review it whenever your business, address or ownership changes. Classification updates largely on its own once your income tax return and GST returns are filed.
